Terms

Telaray is made and sold by ViningAI LLC, a Colorado company ("we," "us"). These terms cover the Telaray app, the open beta, and founding pre-orders. By downloading the beta or founding Telaray, you agree to them.

You need to be old enough to enter a contract where you live (at least 18 in most places) to found or buy Telaray. By doing so, you confirm you are.

Who you're buying from

Payments are handled by Lemon Squeezy, acting as our authorized reseller and merchant of record. When you found or buy Telaray, your order is with Lemon Squeezy, who collect payment and handle tax and refunds on our behalf. The software license itself is granted by us, ViningAI LLC.

Because Lemon Squeezy is the seller of record, your purchase is also subject to Lemon Squeezy's own terms and refund policy, and they're responsible for the payment, the receipt, and the tax. We're responsible for the Telaray software and your license. The refund promises below are ours, and we honor them through Lemon Squeezy. If there's ever a conflict about your license or a founder refund, these terms are what we'll honor. If you ever can't reach us, you can also contact Lemon Squeezy about your order.

The beta is a work in progress

The beta is pre-release software, provided "as is" and "as available." It may have bugs, it may change, and parts of it may break or be removed as it develops. We don't promise it will be uninterrupted, error-free, or fit for any particular purpose. Back up anything you care about.

As with everything here, this doesn't take away any consumer rights you have where you live.

Founding is a pre-order

What founding is, and isn't. Founding is simply pre-paying for a Telaray license at an early price. It is not an investment, a donation, equity, a share of the company, or any kind of security. You're not buying a piece of ViningAI, you're buying software, early.

Founding lets you buy a license before Telaray leaves beta. You're buying a license to your tier of Telaray (Founder includes the Performer tier; Lifetime Pro includes the Pro tier), the core app and its main capabilities, not a frozen snapshot of every beta feature. Your license activates when the paid 1.0 release ships.

As Telaray develops toward 1.0, individual features may be added, changed, combined, or dropped, and the way things look and work may evolve. We'll keep the heart of what each tier is for, but we don't promise any specific beta feature carries through to 1.0 unchanged. Features we describe as "exploring," "coming," "planned," or similar (for example, video output over Syphon and NDI, or physical-rig sync) are things we may build, not things we promise. They may never be made, and we are not liable if they don't ship.

Any dates or timelines we mention are estimates, not commitments. If we're running really late: founding is a pre-order, so there's a wait. If the paid 1.0 is clearly going to take much longer than we said, we'll email you, and you can either keep waiting or ask for a full refund. Your call.

Getting your license. When the paid 1.0 ships, we'll send your activation details to the email on your order, so keep it current and let us know if it changes. If you ever don't receive it, just email us and we'll sort you out.

Who owns Telaray

Telaray, the app, its code, name, logo, look, and everything in it, belongs to ViningAI LLC. Buying a license gives you the right to use Telaray. It doesn't transfer any ownership to you. All rights we don't expressly grant you, we keep.

Telaray includes some third-party and open-source components, each under its own license. Those licenses apply to those parts, and where one conflicts with these terms for that component, it wins. We'll make the relevant notices available in the app or on request.

Your license

A paid license is a personal, non-exclusive, non-transferable license to use Telaray at your tier. It is perpetual: you keep the version you have, for good. Performer licenses include 12 months of updates from release; Lifetime Pro includes updates for as long as we actively develop and support Telaray. Licenses are for your own use and may not be resold, shared, or redistributed. Don't use Telaray to break the law, harm others, or get around its licensing or security, and don't remove our names or notices from it. We may set a reasonable limit on the number of devices a license activates on.

"Perpetual" means your license doesn't expire, not that the app will run forever on every future version of macOS. "Lifetime updates" means for as long as we actively develop and support Telaray. Operating systems and hardware change over time, and at some point a version may stop working on the newest macOS. That's the nature of software, not a failure of your license.

Refunds

  • 14 days, any reason: if you change your mind within 14 days of your purchase, email us and we'll refund you in full.
  • If the paid 1.0 doesn't arrive: if we publicly announce we've stopped developing Telaray, or if the paid 1.0 hasn't shipped within 24 months of your purchase, every founder can ask for a full refund at any time after that, no questions asked. You're never out money for a product that doesn't arrive.
  • If you're in the EU or UK: you have a legal right to change your mind for 14 days ("withdrawal"). Because founding is a pre-order, your software is delivered when the paid 1.0 release activates, not when you pay, so your 14-day legal window runs from activation, while our own 14-day promise runs from your purchase date. Whichever gives you more time, you get. To use either, just email us.
  • Talk to us first: if anything's wrong with your order, email us. Our refund is fast and full, and it's the simplest fix, so please reach out before asking your bank or card company to reverse the charge, and we'll sort it out directly.
  • Timing: we'll start any refund promptly, typically within 14 days of approving it, back to your original payment method, with no deduction.
  • How: refunds are processed through Lemon Squeezy, back to your original payment method.

If Telaray changes hands. If we sell or transfer Telaray, your license and your founder refund rights go with it; the new owner steps into our shoes. If ViningAI LLC ever has to wind down before the paid 1.0 ships, getting founders refunded is a priority, and refunds run back through Lemon Squeezy to your original payment method.

No warranties

To the fullest extent the law allows, Telaray is provided without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Your local consumer rights always win. Many countries, across the EU and UK, in Australia, and elsewhere, give you guarantees about software you buy that can't be signed away, like that it broadly works and matches how we described it. Nothing above limits those. If they apply to you, you have them, regardless of what this page says.

For customers in Australia: our software comes with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and to compensation for any other reasonably foreseeable loss or damage.

Limit of liability

To the fullest extent the law allows, our total liability to you for anything related to Telaray is limited to the amount you paid us. We are not liable for indirect, incidental, or consequential losses (for example lost data, lost profits, or a show that didn't go to plan).

Nothing here limits anything the law won't let us limit, including liability for fraud, for death or injury caused by our negligence, or for the consumer guarantees your country gives you. Where those apply, they apply in full no matter what this section says.

If these terms are broken

If you seriously break these terms, for example by pirating Telaray, sharing license keys, or reversing a payment after using it, we can suspend or end your license. Your perpetual license is safe as long as you hold up your side. If your license ends, you stop having the right to use Telaray, but the parts of these terms that should outlast it (ownership, disclaimers, limits of liability, and governing law) stay in effect.

Your privacy

How we handle your data, what we collect when you found, beta-test, or email us, and what we do with it, is covered in our Privacy Policy. Lemon Squeezy handles your payment details under their own privacy policy.

Changes

We may update these terms as Telaray grows. For small things (clarifications, contact details) we'll just update this page and the date above. We won't change these terms in a way that takes away what you already paid for, your license tier, your updates, or your refund rights, for a purchase you've already made. Those are locked in at the time you found.

Governing law

These terms are governed by the laws of the State of Colorado, USA, without regard to its conflict-of-laws rules. If you're a consumer, this choice of Colorado law doesn't take away the protections of the laws of the country you live in, and it doesn't stop you from bringing a claim where you live if your local law gives you that right.

The fine print

If something outside our reasonable control (illness, disaster, infrastructure failure, and the like) delays us, including the 1.0 release, we're not in breach for the delay. This doesn't affect your refund if 1.0 never ships at all.

If a court finds part of these terms unenforceable, the rest still applies. These terms, plus anything they link to, are the whole agreement between us about Telaray and replace any earlier promises or chats. You can't transfer your license to someone else, though we can transfer these terms if Telaray or ViningAI is sold, and your license carries over. If we don't enforce part of these terms right away, we haven't given up the right to later.
